ABFRL sheds its skin: market reacts to lifestyle spin-off

The sharp decline reflects the adjustment in ABFRL's share price to account for the demerged business. As per the approved 1:1 share entitlement ratio, existing ABFRL shareholders will receive one share of ABLBL for every ABFRL share they hold. With 22 May set as the ex-date, the stock price was realigned to exclude the value of the lifestyle brands vertical. The record date to determine shareholder eligibility was also set for the same day. Post-demerger, ABFRL will continue to focus on its core verticals, which include value retail through brands such as Pantaloons and Style Up, ethnic wear featuring TCNS Clothing and designer-led collaborations, the luxury and bridge-to-luxury segments via The Collective, Galeries Lafayette, and premium international labels, as well as digital-first brands under the TMRW platform. Meanwhile, the newly listed ABLBL will carry forward ABFRL's powerhouse portfolio of marquee fashion labels such as Louis Phillippe, Van Heusen, Allen Solly, and Peter England. It will also include youth and casualwear brands like American Eagle and Forever 21, the Reebok sportswear line, and the innerwear division under Van Heusen. On the financial front, the reorganisation involves transferring Rs 1,000 crore of debt to ABLBL from ABFRL's total outstanding of Rs 3,000 crore as of 31 March 2024. ABFRL will retain the remaining Rs 2,000 crore on its books. ABFRL is engaged in the business of manufacturing and retailing of branded apparel and runs a chain of apparel and accessories retail stores in India. On a consolidated basis, ABFRL reported net loss of Rs 51.31 crore in Q3 December 2024 as against net loss of Rs 77.87 crore in Q3 December 2023. ABFRL concludes Rs 1,860-cr QIP of equity shares

The qualified institutional placement (QIP), which commenced on 16 January 2025, concluded on 21 January 2025, with a total of 6,85,83,059 equity shares being allotted. The shares were priced at Rs 271.30 per share, resulting in an issue size of approximately Rs 1,860.66 crore. The issue price of Rs 271.30 is nearly similar to the floor price of Rs 271.28 per equity share set for the QIP issue. Pursuant to the allotment of equity shares under the QIP, the paid-up equity share capital of the company increased to Rs 1,139.80 crore comprising 1,13,98,06,825 equity shares. Amansa Holdings emerged as the largest allottee, securing a substantial 27.91% allocation. Following, SBI Life Insurance Company, Quant Mutual Fund received allocations of 13.44% and 10.75%, respectively. HDFC Life Insurance Company secured 9.67% allocation, while BOFA SECURITIES EUROPE SA - ODI received allocation of 8.37%. Further, Maybank Securities Pte., Aditya Birla Sun Life Trustee received allocations of 6.98% and 6.29%, respectively. Aditya Birla Fashion and Retail (ABFRL) is engaged in the business of manufacturing and retailing of branded apparel and runs a chain of apparel and accessories retail stores in India. On a consolidated basis, ABFRL reported a net loss of Rs 185.90 crore in Q2 FY25 as against a net loss of Rs 179.15 crore recorded in Q2 FY24. Aditya Birla Fashion & Retail (ABFRL) has announced the completion of the fundraise through a Qualified Institutional Placement (QIP) of equity shares aggregating to Rs 1,860 crore. The QIP Committee of the Board of Directors of the Company has, at its meeting held om 21 January 2025, approved the issue and allotment of 68,583,059 equity shares of face value Rs 10 each to eligible Qualified Institutional Buyers (QIBs) at the issue price of Rs 271.3 per equity share (including a premium of Rs 261.3 per equity share), aggregating toRs 1,860 crore. The Company's first-ever QIP transaction which opened on 16 January 2025, and closed on 21 January 2025, received an overwhelming response from prominent domestic and foreign institutional investors, with a subscription of ~ 2X.
